Nonprofit Attorney

A nonprofit attorney is not an attorney who works for free.  That type of legal work is called pro bono work.  Instead, a nonprofit attorney works with not-for-profit organizations, such as charities, religious organizations, private foundations, etc.  Even though such organizations do not exist to earn huge profits, they still have the need for proper legal guidance.

Nonprofit attorneys work with nonprofit organizations ensuring that they are properly formed, as well as giving guidance for these organizations to maintain their not-for-profit status.  These laws are in constant flux, especially as federal and state governments continue to crack down on those organizations which are not truly nonprofit.

Nonprofit Legal Counsel

  • Starting a nonprofit organization;
  • Properly structuring the nonprofit organization;
  • Forming and maintaining an organization's tax exempt status;
  • Drafting and revising corporate by-laws;
  • Communicating and monitoring duties of the organization's board members;
  • Representing nonprofits throughout conflicts and when litigation is necessary;
  • Transactional deals, including mergers & acquisitions, dissolutions, etc.;
  • Proper methods of soliciting funds;
  • Maintaining proper paperwork and filings with the state and federal government;
  • Staying current on and implementing new laws passed for nonprofits;
  • Maintaining financial records for the nonprofit organization; and
  • Advising international nonprofits on proper global strategies.

Nonprofit Formation

Forming or working with a nonprofit often involves not only unheralded efforts, but also difficult and time consuming work.  The skill set of a nonprofit attorney can help an organization from a compliance standpoint.  He or she can also release the large burden of red tape from the board members; thus, they can go about their daily business.

A nonprofit attorney is beneficial for organizations who are not experienced in the legal requirements and complexities that come along with forming and maintaining a nonprofit organization.  If you have formed, or are in the process of forming, a nonprofit organization, you may benefit from consulting with a local, experienced non-profit attorney.
